Terms of Use

These Terms of Use ("Terms") govern your use of any marketing or email data and services provided by Crown Funding Source ("Company," "we," "our," or "us") and constitute a binding agreement between you ("User," "you," or "your") and Crown Funding Source. By using our services, you agree to these Terms in their entirety.

1. Data Usage and Sharing

You are prohibited from sharing, selling, transferring, or making the data available to any third parties without prior written authorization from Crown Funding Source. You must take all reasonable measures to prevent misuse or unauthorized use of the data provided to you.

Any unauthorized distribution, resale, or transfer of data will result in immediate termination of your account and may result in legal action.

2. Promotional Material Restrictions

You may not name or refer to Crown Funding Source or your use of the data in any advertisements, promotional, or marketing materials without our prior written consent. All references to our company or services in public-facing materials require explicit approval.

3. Payment and Renewal

You agree to pay all applicable fees according to the terms in effect at the time of purchase. Key payment terms include:

  • All fees are non-refundable unless otherwise stated in a separate written agreement
  • For subscription products, the term automatically renews at the current subscription price after the initial period unless cancelled prior to renewal
  • Price changes will be communicated in advance and will take effect upon the next renewal period
  • Late payments may be subject to additional fees and may result in suspension of services

4. Ownership and License

All "Crown Funding Source Property," including but not limited to programs, files, systems, documentation, and intellectual property, remains the sole and exclusive property of Crown Funding Source.

You are granted a personal, nontransferable, and nonexclusive license to use the data solely for the following purposes:

  • Direct marketing campaigns
  • Market research and analysis
  • Customer prospecting

This license must be exercised strictly in accordance with the terms of this agreement. If no usage period is selected at the time of purchase, the default license term is one (1) year from the date of delivery.

5. Compliance and Audits

You must comply with all applicable federal, state, local, and foreign laws, statutes, rules, and regulations ("Laws") regarding:

  • Telemarketing practices and regulations
  • Email and facsimile marketing laws (CAN-SPAM, etc.)
  • Customer solicitation requirements
  • Do-not-call (DNC) list compliance
  • Use of automatic dialing equipment (TCPA)
  • State-specific consumer protection laws

You are also expected to comply with the guidelines of the Direct Marketing Association ("DMA") and any other applicable industry standards.

Crown Funding Source reserves the right to audit your records with three (3) business days' prior written notice to ensure compliance with these Terms. You agree to cooperate fully with any such audit and provide access to relevant records and documentation.

6. Disclaimer of Warranties

THE DATA AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CROWN FUNDING SOURCE DOES NOT WARRANT THE CORRECTNESS, COMPREHENSIVENESS, OR COMPLETENESS OF THE DATA.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Warranties of fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties of accuracy or reliability of data

7. Limitation of Liability

In no event shall Crown Funding Source be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the services
  • Any conduct or content of any third party related to the services
  • Any data obtained from the services
  • Unauthorized access, use, or alteration of your data

8. Indemnification

You agree to indemnify, defend, and hold harmless Crown Funding Source, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the data and services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

Crown Funding Source may terminate or suspend your access to the services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the data and services will immediately cease, and you must destroy all copies of data in your possession.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the services after such modifications constitutes acceptance of the updated Terms.
